INDEPENDENT CONTRACTOR AGREEMENT

Atomic Trips

This Independent Contractor Agreement (“Agreement”) is entered into as of , by and between:

M&S Sublets and Services LLC, DBA Atomic Trips, a Nevada limited liability company, located at 304 South Jones Blvd, Suite 4688, Las Vegas, NV 89107 (“Company”),

and

  , located at (“Contractor”).

1. Relationship of the Parties

Contractor is engaged as an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture.

Contractor is not entitled to any employee benefits, insurance, or protections provided by the Company.

Contractor is responsible for all taxes, filings, and legal obligations in their country of residence.

2. Scope of Work

Contractor will perform services as a Travel Booking Coordinator, including but not limited to:

  • Responding to inbound traveler inquiries
  • Communicating with travelers via phone, SMS, and messaging platforms
  • Answering questions regarding trips, pricing, and booking processes
  • Assisting travelers in completing bookings
  • Following up with interested leads
  • Maintaining accurate notes in the Company’s CRM
  • Providing a professional and supportive customer experience

Additional responsibilities include:

  • Monitoring and reviewing user behavior on the Company’s website and platforms
  • Matching and organizing user activity within the Company’s CRM system
  • Assisting in tracking customer engagement and identifying high-intent leads
  • Creating and managing custom checkout pages using Company tools.
  • Generating invoices, payment links, and purchase orders for travelers
  • Supporting the booking process through administrative and technical setup
  • Using Company software and systems to improve booking efficiency and customer experience

Contractor agrees to learn and effectively use all required systems and tools as part of their role.

The Company may update or refine responsibilities as needed based on operational requirements.

3. Work Structure and Availability

Contractor maintains control over how services are performed.

However, due to the nature of the role, Contractor agrees to maintain consistent availability during core coverage hours aligned with U.S. Pacific Time (approximately 11:00 AM to 7:00 PM PT) to support traveler inquiries.

Contractor is responsible for ensuring:

  • Timely responses to inbound inquiries
  • Consistent communication with travelers
  • Reliable availability during agreed coverage periods

Contractor may determine how work is completed outside of these expectations.

4. Compensation

Contractor will be compensated on an hourly basis at a rate of $15.00 USD per hour for time worked.

All hours must be accurately tracked using the Company’s designated time-tracking system (currently Hubstaff). Only time recorded and approved within this system will be eligible for payment.

Contractor agrees to:

  • Accurately track all working time
  • Only track time spent actively performing work-related tasks
  • Maintain productivity and performance standards while tracking time

Invoices must reflect hours recorded in Hubstaff and be submitted bi-weekly. Payment will be issued on the 1st and 15th days of invoiced months with approval.

Performance-Based Bonus

Contractor will be eligible for a $200 USD bonus for each trip that reaches full capacity (35 travelers).

  • Bonuses are based on team performance, not individual attribution
  • A trip is considered “sold out” when 35 travelers have fully secured and paid for their spot
  • Bonus eligibility is determined and confirmed by the Company
  • Bonuses will be paid after sold-out status is verified

The Company’s goal is to sell out approximately 20 trips per year; however, bonuses are not guaranteed and are dependent on actual results.

Additional Incentives

The Company may offer additional incentives at its discretion, including but not limited to:

  • Cash bonuses
  • Paid travel opportunities with the team
  • Increased hours or expanded responsibilities
  • Continued engagement opportunities

These incentives are not guaranteed and are awarded based on performance, initiative, and overall contribution.

Work Outside Standard Hours

From time to time, Contractor may choose to engage with high-intent travelers outside typical coverage hours.

This is not required but is considered a strong performance indicator. The Company may reward this level of initiative through discretionary incentives.

Contractor is responsible for all applicable taxes and fees.

5. Expenses

Unless otherwise agreed in writing, Contractor is responsible for all personal expenses, including equipment, internet, phone, and workspace.

6. Confidentiality

Contractor agrees to protect all confidential information related to the Company, including but not limited to:

  • Customer data
  • Pricing structures
  • Marketing strategies
  • Internal processes

Contractor agrees not to disclose or use this information outside of their work with the Company.

This obligation continues after termination.

7. Intellectual Property

All work created, produced, or contributed by Contractor in connection with Atomic Trips is considered work made for hire.

The Company retains full ownership of all materials, communications, systems, and outputs created during the engagement.

Contractor agrees not to reuse or distribute Company materials without written permission.

8. Non-Solicitation

During the term of this Agreement and for 12 months after termination, Contractor agrees not to:

  • Solicit or attempt to take Company customers
  • Use Company leads, systems, or processes for competing purposes
  • Interfere with Company business relationships

9. Term and Termination

This Agreement begins on the start date mentioned above and continues until terminated.

Either party may terminate this Agreement at any time, with or without cause, with 7 days' written notice.

The Company may terminate immediately in cases of:

  • Breach of confidentiality
  • Misconduct
  • Failure to perform duties
  • Damage to Company reputation

10. Performance, Availability, and Work Standards

Contractor agrees to maintain a high standard of professionalism, reliability, and communication while representing the Company.

Contractor is expected to:

  • Respond to traveler inquiries in a timely and consistent manner
  • Maintain clear, professional, and accurate communication
  • Properly use all Company systems, including CRM, Hubstaff, and messaging tools
  • Ensure there are no gaps in communication that would negatively impact traveler experience
  • Take full responsibility for managing workload and maintaining performance standards

Work Environment and Location

Contractor’s primary approved work location is their home workspace, where a stable and reliable internet connection is expected.

If Contractor chooses to work from an alternative location, including but not limited to hotels, public spaces, or while traveling, Contractor must:

  • Notify the Company in advance
  • Ensure internet reliability and a professional working environment
  • Maintain the same level of responsiveness and performance

The Contractor is solely responsible for ensuring their work environment does not negatively impact their ability to perform their duties.

Availability and Responsibility

Contractor has control over when and how they perform their work. The Company does not guarantee a set number of hours or ongoing engagement.

However, Contractor is responsible for maintaining sufficient availability to meet the needs of the role, including consistent communication coverage.

Failure to maintain availability or responsiveness, regardless of reason, may negatively impact performance evaluation.

Performance-Based Engagement

This is a performance-based engagement.

The Company does not guarantee:

  • a minimum number of hours
  • ongoing work
  • or continued engagement for any specific period of time

Contractor understands that continuation of work is dependent on:

  • Consistency and reliability
  • Responsiveness to travelers
  • Proper use of tools and systems
  • Overall contribution to booking performance

If Contractor’s actions result in missed communication, delayed responses, or a decline in customer experience, the Company may reduce hours or terminate this Agreement.

Use of Systems and Automation

Contractor is expected to fully utilize Company tools, systems, and automations to ensure:

  • No gaps in traveler communication
  • Proper tracking of leads and customer activity
  • Efficient handling of bookings and follow-ups

Failure to effectively use the provided systems may be considered a performance issue.

Response Time and Communication Standards

Due to the nature of inbound traveler inquiries, timely communication is critical.

During core coverage periods, Contractor is expected to:

  • Respond to new inquiries and active conversations as promptly as possible, with a target response time of approximately 5 minutes when actively working
  • Maintain consistent communication with travelers to avoid delays or missed opportunities
  • Prioritize high-intent leads and active booking conversations

Response time expectations apply while Contractor is actively working and available, not during periods of inactivity.

Outbound Communication Expectations

Contractor is expected to actively support booking conversion through consistent outreach and follow-up.

This includes:

  • Initiating outbound communication with interested travelers
  • Following up with leads who have not completed their booking
  • Maintaining consistent engagement with potential travelers

As a general performance benchmark, the Company expects Contractor to complete approximately 20 outbound calls per day, along with additional messaging and follow-up activity as needed.

These benchmarks are performance guidelines and may be adjusted based on business needs, lead volume, and overall performance.

 

11. Role Evolution and Scope Adjustments

  • Contractor acknowledges that this role is part of a growing and evolving area of the Company’s operations.
  • As business needs develop, the Company may adjust, expand, or refine the scope of services requested. These changes may include updates to responsibilities, tools used, communication expectations, or areas of focus.
  • Where changes are substantial, the Company may present an updated scope of work or revised agreement for Contractor’s review and acceptance.
  • Contractor retains the right to accept or decline any material changes. Continued engagement will be based on alignment between the Company’s needs and Contractor’s willingness and ability to perform the requested services.

12. Limitation of Liability

The Company is not liable for indirect, incidental, or consequential damages arising from this Agreement.

13. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Nevada, United States.

14. Entire Agreement

This Agreement represents the full understanding between the parties and supersedes all prior discussions or agreements.

Any modifications must be made in writing and signed by both parties.
